Covington & Burling, LLP. seeks a Senior Associate in New York, NY (Part-time telecommuting permitted)JOB DUTIES: Act as lead associate on capital markets transactions, including initial public offerings, follow-on equity and debt offerings, at-the-market offerings, private placement transactions(including in connection with reverse mergers) and rights offerings, for domestic and foreign private issuers in the life sciences industry. Manage team of associates and subject-matter specialists throughout the underwriter due diligence process in capital markets transactions. Assume primary responsibility in drafting and reviewing principal transaction documents in capital markets transactions representing the investment banks or issuers, including underwriting agreements, sales agreements, subscription agreements, and anciliary documents such as law firm legal opinions and closing certificates. Prepare Securities Act and Exchange Act forms including Forms S-1, S-3, S-4, S-8, F-1, F-3, F-4, 8-A, 10-K, 10-Q, 8-K, 20-F and 6-K, proxy statements, and beneficial ownership reporting forms. Counsel on routine SEC compliance matters for domestic and foreign public companies, including Exchange Act compliance and corporate governance matters. Prepare and present internal training materials and develop external materials for business development purposes.JOB REQUIREMENTS: Job requires a J.D. or LLM, active state bar membership in good standing of at least one U.S. jurisdiction and 2 years of experience as an attorney in a law firm setting for matters relating to corporate governance, securities and capital markets transactions or SEC reporting work.Must have prior experience with:- Knowledge and exposure to legal issues encountered by a public company.- Providing legal support on capital markets transactions, including initial public offerings, follow-on equity, at-the-market offerings, private placement transactions, for domestic and foreign private issuers in the life science industry- Conducting corporate due diligence and managing team of subject-matter specialists in standard due diligence process in capital markets transactions- Preparing drafts of ancillary legal documents for follow-on and at-the-market offerings including law firm legal opinions and closing certificates based on legal precedents- Conducting legal research for domestic and foreign public companies on routine SEC compliance matters, including Exchange Act compliance and corporate governance matters review and revise drafts of Exchange Act forms including Form 10-K, Form 10-Q, Form 8-K, Form 6-K and Form 20-FSalary: $310,000/YearQualified applicants should email cover letter and resume to: lbrown@cov.com.
